Paul Wilson and Chantelle Foster acted for one of the partners in a joint venture which was established to develop buildings at a site based in the UK.  They produced an investment and shareholders' agreement and ancillary documents.

Paul Wilson acted for the Jersey Football Association in the incorporation of a company to take over the running and regulation of the Association's business.  The Association was previously an unincorporated association, and Paul Wilson drafted the Loi sur l'Association dite "The Jersey Football Association" (Repeal) (Jersey) Law 2012 which came into force in November 2012.  This law provided for the dissolution of the old unincorporated association upon the incorporation of the new company. Chantelle Foster assisted with a review of the new company's memorandum and articles of association and new rules.

Paul Wilson and Chantelle Foster acted for the sellers of a Jersey based haulage business, including drafting the share purchase agreement and ancillary documentation.

Paul Wilson was instructed by a national UK firm to provide advice on the Jersey law aspects of the sale of shares in a Jersey holding company whose subsidiary is involved in the manufacture and supply of tools.  Chantelle Foster assisted with a review of the disclosure letter and other ancillary documents from a Jersey law perspective.

Chantelle Foster provided legal advice to a Jersey based franchisee of a global organisation relating to the termination provisions and the post-termination restrictive covenants contained within the franchise agreement.

Chantelle Foster acted for a Jersey based shareholder in the transfer of the shareholder's entire interest to a business partner in exchange for all sums owing to the company, which was involved in a hairdressing business.

Paul Wilson and Chantelle Foster acted for the sellers of the Key Trust group, a trust and corporate services provider to Hawksford, including negotiating principal agreements and leading commercial negotiations between the sellers and the purchaser.　

Particular issues included lengthy commercial negotiations with the purchaser, dealing with a multitude of regulatory and cross-jurisdictional issues, and co-ordinating a closing that related to over a dozen companies.

In conjunction with Collas Crill's corporate and commercial and insolvency teams, acting for the company, which conducted investment management and fund services in Jersey. Successfully applied for an order from the court winding the company up on a just and equitable basis.

Collas Crill advised on Jersey's first ever cross-border merger. Jersey's statutory company merger regime was updated in February 2011, introducing provisions to allow a Jersey company to merge with an overseas body. This significantly simplified what was previously a two-step procedure, involving the initial continuance of the overseas body into Jersey and subsequent merger. The merger was carried out between a Jersey company and a BVI company, which combined to form and continue as a Jersey company. Collas Crill were instructed on this matter by a major trust company.

Advised the Jersey-based purchaser in its acquisition of the entire Channel Islands book debt of Citifinancial of £1+ million.

Assisted a Jersey SPV in respect of its dealings with and the establishment of a new Waitrose supermarket in the UK.

Acting for the investment manager of the insolvent Belgravia Group on the re-structuring of the distressed Belgravia European Property Fund, which involves some 30 investment companies from across Europe (ranging from the Channel Islands to the Netherlands to the Czech Republic).

Acted for J.J. Fox International Limited (a global trading company based in Jersey) with regard to a corporate re-structuring of its European network of IT companies. In some cases the purchaser sought to renegotiate the terms of the purchase. The team advised on this and put the further agreement documentation into effect, the consequential impacts of which are significant in the original documentation.

Assisting with regard to the re-structuring of a highly complex investment structure into which significantly in excess of E50m was invested. The team is providing both tactical legal advice and restructuring advice and paperwork to the companies and to the trustee.

Assisting Baccata, a Jersey trust company, in the re-structuring of a group of companies (Jersey, BVI and Guernsey) held in a Jersey trust, which hold a significant amount of prime London property. Some of the companies in the group are at risk of insolvency, and so on considering all appropriate laws local to the seat of the companies in question, the group has been streamlined and re-shaped with assets and liabilities relocated, and some subsidiaries created.  Share sale and purchase agreements and loan re-financing documents have been produced.
