    Acted for Northern Trust (Guernsey) Limited in respect of a US$250,000,000 facility being made available to a suite of funds domiciled in Guernsey and the British Virgin Islands.  Due to the custody structure used, this involved complex Guernsey Law security arrangements for all funds and liaison with English, Irish and BVI Counsel.

    First statutory appeal to be heard by the Royal Court of Guernsey following the abolition of the specialist regulatory appeals tribunal in 2007.  Acted for Guernsey Post Limited, in relation to a decision of the utility regulator to reduce GPL's monopoly and open up a significant segment of the Guernsey postal market to competition.  Advised GPL during consultation process during decision leading to appeal. Obtained a favourable settlement for GPL, on the basis that the initial consultation contemplated full competition, the decision appealed contemplated a protected area of £1 (excluding 'packet mail'), and settlement level was agreed at a protected area of £1.35 (excluding 'packet mail').

    Acted for the developer of luxury art deco style apartments in St Brelade's Bay. This is a complex case because an inter-company loan affected the land as security. In addition to creating a share transfer structure to co-ordinate the deal, we assisted in structuring sales to save on land transaction tax, which has recently come into force.

    Acted for a BVI company in relation to its purchase of shares in 2 Hill Street Limited. The consideration was £6.5 million and represents one of the major commercial property investment deals in Jersey in the past year.  The acquisition involved extensive company, property and construction due diligence. We also assisted with the subsequent £4.275 million equity release by 2 Hill Street Holdings Limited from Investec.

    Acting for the RGA Cell of a Guernsey PCC in connection with a restructuring of its insurance business.  Matter including application to the Royal Court for a cell transfer order to permit the transfer of approximately Eur 20m in assets.  The restructuring took place as a result of the acquisition of the ABN AMRO Group by a consortium of events (including at a later stage the Dutch government). As part of the transaction the firm liaised with the Guernsey Financial Services Commission to obtain their that content to the proposal under the Insurance Law.

    Acted as Guernsey advisers to the Intertrust Group in relation to the entry into a multimillion multicurrency term and revolving facilities agreement between Intertrust International Holding B.V and Fortis Bank Nederland N.V. The purpose of the loan was to partially fund the acquisition by Waterland Private Equity Investments of the Intertrust Group. The matter involved a complex group structure with associated complexities with security related matters. Intertrust is a recognised quality leader in the Trust and Corporate Services domain, providing a broad range of commercial, legal, tax and administrative services to companies and high net worth individuals.
