Overview

Ben is an Advocate and Senior Associate in the Financial Services and Regulatory team in Guernsey.

Ben advises on all aspects of commercial law with a particular focus on banking and finance (including real estate finance, Islamic finance and fund finance), mergers and acquisitions and general corporate matters. Ben regularly works with our BVI, Cayman and Jersey corporate and trust teams on cross-jurisdictional finance, corporate and trust matters.

Ben also assists the team in their other core areas including funds, data protection, and risk and regulatory.

Experience

  • Acting for HSBC UK Bank plc, Barclays Bank PLC, Rothschild & Co Wealth Management UK Limited and the Bank of East Asia Limited (amongst others) respectively on a number of complex real estate and acquisition finance transactions.
  • Acting for QIB (UK) plc, Bank of London and The Middle East Plc, Al Rayan Bank PLC and Adu Dhabi Islamic Bank PJSC respectively on a number of complex Islamic finance transactions.
  • Acting for Silicon Valley Bank in respect of a number of high value fund finance transactions involving Guernsey collective investment schemes.
  • Acting for airline Blue Islands in respect of a loan facility and complex security package with the States of Jersey in order to secure Channel Islands' air connectivity with the United Kingdom.
  • Acting for SafeCharge International Group Limited on its successful takeover by 11411802 Canada Inc. (a wholly-owned subsidiary of the Nuvei Corporation) by way of a Guernsey scheme of arrangement, and on subsequent complex financing arrangements and international group restructuring.
  • Acting for Zurich Assurance Ltd and Scottish Widows Limited in relation to the transfer of Zurich's UK workplace pensions and savings business to Scottish Widows.
  • Assisting various companies in migrating their businesses to Guernsey.
  • Assisting a number of businesses in their move from a general partnership to a limited liability partnership.

Background

Ben first joined Collas Crill as a paralegal and went on to train with the firm, qualifying as a Solicitor of England & Wales in September 2017.

During his training contract Ben undertook a three month secondment to CMS Cameron McKenna Nabarro Olswang LLP in London in their Banking and International Finance team. During his time at CMS, Ben worked primarily on the acquisition, development, restructuring and financing of projects in the real estate, infrastructure, energy and natural resources sectors.

Ben read law at the University of Bristol, graduating with First Class Honours, and went on to complete his Legal Practice Course at BPP University Law School.

He was promoted to Senior Associate in August 2022 and was admitted to the Guernsey Bar in December 2022.

Ben was included on the 2021 eprivateclient Top 35 Under 35 UK and Crown Dependencies list and on the 2022 eprivateclient Top 35 Under 35 Channel Islands list.

He was listed as a 'Rising Star' in the 2024 Legal 500 UK guide.

Outside of the office Ben is an accomplished magician.

Acquisition finance

Advising on acquisition finance is a key part of our services when acting on merger and acquisition transactions. We work with our corporate teams to provide solutions which may include conventional loans, leveraging the target, accessing capital markets, or typically, a combination of these. We act for lenders, corporates and corporate advisors.

Asset finance

We work both lender and borrower side in funding the acquisition of aircraft, ships, containers, art and other high value assets and advise on finance and operating leases, sale and leaseback transactions, jurisdiction specific transactions such as JOLCOs and the securitisation of asset receivables.

International and multi-jurisdictional activity, particularly in emerging markets and with alternative credit providers, is driving creativity in structuring and transactions which requires a team of lawyers who know how to get the optimal results from each deal.

Underlying relationships between investors, borrowers and lenders are key to the success of the industry. We work with lenders and borrowers to maintain these relationships at every stage of the process, with our commercial, efficient and pragmatic approach to managing transactions.

Our uniquely diverse practice regularly assists with the establishment of both open and closed-ended fund structures. In addition to traditional Channel Island private equity and real estate structures and Caribbean hedge funds, we have advised on a number of alternative and esoteric classes. We work alongside our clients to understand their investment thesis and provide bespoke drafting to build the fund they want as opposed to generic template structures and documentation. We advise clients at every step of the process, including preparing offer documents, investor negotiations, the preparation of agreements, and in the closing of transactions.
